GENERAL TERMS AND CONDITIONS
These are the Standard Terms and Conditions of Business for Stream Motion Limited for the provision of goods and services. By confirming a booking via email, digital quote approval, or payment of a deposit, both parties agree to be bound by these terms.
1. Definitions
In this Agreement:
“Agreement” means the obligations and duties contained herein;
“Charges” means those outlined in the Quote or Invoice provided;
“Confidential Information” means all financial, business, technical or other data concerning the business affairs of a party;
“Deposit” means the sum of 20% (or such other sum as may be agreed) payable upon booking confirmation.
2. Duration of Agreement
This Agreement shall last until the completion of the agreed service from the date of confirmation.
3. Entire Agreement
3.1 This Agreement constitutes the entire understanding between you and us. 3.2 Your confirmation of our services (via email, digital signature, or deposit payment) is deemed acceptance of these terms and conditions.
4. Our Obligations
4.1 Upon receipt of booking confirmation and deposit, we undertake: 4.1.1 To use reasonable endeavours to provide the goods and services for your event as per the Quote. 4.1.2 To notify you immediately of any change in circumstances that renders performance impossible. 4.1.3 To ensure all supplied equipment is operational. 4.2 If equipment becomes un-useable (other than by accident or vandalism caused by the client), we will provide a replacement within 48 hours or as soon as practicable.
5. Your Obligations
You warrant that you: 5.1 Will pay all incurred charges in full, including VAT, in accordance with Clause 6. 5.2 Will provide a safe environment for our staff and equipment at the event location.
6. Payment
6.1 The 20% deposit is non-refundable but will be deducted from the final balance. 6.2 The total remaining balance must be paid as cleared funds on or before the day of the event, unless a credit account has been pre-approved. 6.3 If an engineered event runs over the scheduled time by more than 30 minutes, we reserve the right to charge pro-rata overtime rates. 6.4 Additional equipment or crew ordered after the initial confirmation will incur additional charges. 6.5 Failure to pay within 7 days of a demand will incur interest at a rate of 4% above the standard base rate of Barclays Bank Plc.
7. Cancellations
Should you cancel your event after formal confirmation: 7.1.1 More than 14 days before: The 20% deposit is retained. 7.1.2 Within 14 days of the event: 50% of the full fee is due. 7.1.3 Within 7 days of the event: 100% of the full fee is due.
8. Liability
8.1 Neither party shall be liable for indirect losses, loss of profits, or data loss not caused by a direct breach of this agreement. 8.2 Our total liability is limited to the total fee of the booking. 8.3 Nothing excludes liability for death or personal injury caused by negligence.
9. Indemnities
You agree to indemnify us against any extra costs, including insurance excesses, arising from theft or damage to equipment caused by your guests or attendees.
10. Force Majeure
Neither party shall be liable for failure to perform due to events beyond their control, including acts of God, war, terrorism, floods, strikes, or mandatory government restrictions (including pandemics/epidemics).
11. Data Protection (GDPR)
11.1 Both parties shall comply with the UK GDPR and Data Protection Act 2018. 11.2 Stream Motion Limited acts as a Data Processor for any personal data (such as event footage/audio) captured during the service. The Client acts as the Data Controller. 11.3 We will process data only on the instructions of the Client and will not retain event footage once delivered, unless otherwise agreed for portfolio purposes.
12. Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions remain in full force.
13. Law
This Agreement shall be governed by and construed in accordance with the Law of England. Both parties submit to the exclusive jurisdiction of the Courts of England.
